Normative Legal Dictionary

These terms of use (hereinafter, "Terms") apply to the site www.diccionario.com.ar and all of its contents, including the computer-based system contained therein (hereinafter, altogether "NLD"). The Terms govern the legal relationship between Iván Ovejero, holder of Argentine tax ID (CUIT) no. 20-34203368-8, as author of the NLD (hereinafter, "Author") and whoever uses or wishes to use the NLD (hereinafter, "User") or whoever has acquired a subscription to the NLD (hereinafter, "acquiring User").

Latest update of the Terms: January 8^th, 2018

By using the NLD or acquiring a subscription to the NLD, the User acknowledges full acceptance of the Terms. The User is required to read the Terms in full before using the NLD and before acquiring a subscription to the NLD.

The Author is entitled to update the Terms at all times. The Author shall publish any update on the webpage www.diccionario.com.ar/condiciones.html. If the User continues using the NLD after an update to the Terms, the User acknowledges full acceptance of the updated Terms.

This is a complimentary non-binding translation into English of the Terms. In the event of conflict between the Spanish original and its English translation, the Spanish version of the Terms will prevail.

The User states that they are eighteen years of age or older and are capable of understanding and accepting all the Terms and of acquiring a subscription to the NLD. If the User does not accept any provision in the Terms, the User is required to refrain from using the NLD and from acquiring a subscription to the NLD. In the event that any provision in the Terms should become invalid or unenforceable, all other provisions in the Terms will remain fully valid and enforceable.

When acquiring a subscription to the NLD, the User shall pay the Author the price of subscription published as of the payment date on the webpage www.diccionario.com.ar/subscriptions.html. The payment will be made through the accepted payment methods stated therein. The Author may at all times change the price of subscription to the NLD, accept or cease to accept payment methods, and offer or withdraw his offer of installments, special deals, or discounts.

The Author may offer the acquiring User the possibility to renew their subscription at a discounted price, provided that the User acquires a new subscription and their payment is processed before expiration of their current subscription (hereinafter, "Renewal").

If a User entitled to a discount acquires a Renewal but their payment is processed after expiration of their current subscription, the discount will be deemed invalid and the acquired subscription will be activated once the User has paid the regular non-discounted price in full.

If a User who is not entitled to a discount acquires a new subscription at a discounted price seeking a Renewal, the discount will be deemed invalid and the acquired subscription will be activated once the User has paid the regular non-discounted price in full.

E-mail will be the only form of communication between the Author and the User. Any message sent to the acquiring User concerning their subscription to the NLD will be addressed to the e-mail address that the acquiring User states to the User Author when acquiring a subscription to the NLD. This address will be at least six months old since its creation at the time of acquisition of the subscription, will be already linked to a Google® or Facebook® account, and will be the User's regular address (hereinafter, "User's E-mail"). Every message sent to the User's E-mail will be deemed by the Author to have been received.

When acquiring a subscription to the NLD, the User shall state to Author, by sending an e-mail to the address admin@diccionario.com.ar, the User's Google® or Facebook® account for which the acquired subscription will be activated. This is an essential condition for the acquiring User's subscription to be activated.

Once the Author has been informed of the User's Google® or Facebook® account, the acquired subscription

1. will be activated during the day following the date on which the payment is processed, which will be notified to the User by an activation message sent to the User's E-mail,

2. will begin at 12 a.m. (midnight) of the day following the date of activation of the acquired subscription, with 12 a.m. (midnight) being the actual starting point of the thirty days' duration of the acquired subscription,

3. will run for thirty consecutive days since the beginning of the subscription and will expire at 11:59 p.m. of the thirtieth day since the starting point of the subscription.

All times are in UTC−03:00, Argentina time.

For example, if the User's payment is processed and their account is stated to the Author on August 3^rd, 2018, the acquiring User's subscription will be activated on August 4^th, 2018, will begin on August 5^th, 2018, at 12 a.m. (midnight) and will expire on September 3^rd, 2018, at 11:59 p.m.

To access the NLD upon activation of their subscription, the acquiring User will access the subdomain djn.diccionario.com.ar, click on the Google® or Facebook® button (according to the service that they used when first accessing the NLD) and enter the User's Google® or Facebook® e-mail and password (hereinafter, "Access Credentials") in the resulting popup window.

The expiration date of the subscription will be notified to the User in the activation message and by means of the user menu inside the NLD. Upon expiration of the acquired subscription, the NLD will automatically deactivate their subscription unless renewed.

The acquiring User will be the only person authorized to use the acquired subscription to the NLD. No third party other than the acquiring User may use the acquired subscription. This is an essential condition for the acquiring User's subscription to remain active.

A subscription to the NLD is a limited, personal, non-transferable, and voidable subscription under which the User may (1) access the NLD using the same service (Google® or Facebook®) that the User used when first accessed under a trial subscription, (2) operate the interface of the NLD, and (3) view its contents only for personal use and within the scope of the type of acquired subscription. The acquiring User will be authorized to view the contents of the NLD on an as-is basis. The Author may at any time change the contents or functions of the NLD to correct or extend them, among other purposes. The acquiring User accepts any such possible changes to the contents and functions of the NLD.

The User acknowledges that the NLD is fully protected under intellectual-property rights belonging to the Author. The authorization herein constitutes no assignment or waiver of the intellectual-property rights belonging to the Author and protecting the NLD. Any comments made by the User to the Author and in future reflected in the NLD will be protected in like manner.

The following uses are forbidden to the User:

• sharing their Access Credentials with an unauthorized third party or granting access to the NLD, using their acquired subscription or by any other means, to an unauthorized third party,

• infringing, in whatever form, on the intellectual-property rights belonging to the Author and protecting the NLD, particularly by extracting the contents of the NLD and copying, transmitting or distributing them in any way, including, without limitation, creating derivative works from the NLD and offering or marketing products or services based on the NLD, in any medium or format, for profit or not for profit, in full or in part, manually or automatically, publicly or privately, including any attempt, successful or not, at decompiling or manipulating the NLD in any manner, reverse-engineering it, discovering its source code, indexing its contents, searching for vulnerabilities in it or exploiting them or disclosing information about them, controlling or supervising its use,

• using the NLD to infringe on the rights of third parties,

• accessing the NLD and operating it without using the elements of its interface, regardless of mechanism,

• transcribing any portion of the contents of the NLD without citing it as a source,

• using the NLD, at the Author's discretion, in a inordinate manner or in one that may or does overload, deteriorate, render unusable or damage the NLD in any way.

The Author reserves the right to have NLD automatically record its use to verify the User's compliance with the Terms. Should the NLD automatically detect that a User has incurred in a forbidden use, the NLD will automatically deactivate said User's subscription on grounds of their non-compliance with the Terms and will notify the User by sending a message to the User's E-mail. No complaints will be accepted in case of deactivation of a subscription on grounds of verified non-compliance with the Terms. In the event of automatic verification of a forbidden use, the Author may claim any damages caused by the infringing User and forbid them from future use of the NLD.

The User shall be solely responsible for preventing an unauthorized third party from accessing the NLD with the User's Access Credentials. In the event that the User's Access Credentials are compromised and this poses the risk of access by an unauthorized third party, the User shall notify the Author immediately; in this event, the acquiring User's original subscription will be deactivated and a new subscription will be activated for the User, linked to a new account belonging to them, to run for the remaining duration of the original subscription. If an unauthorized third party should access the NLD, the Author may, notwithstanding any rights stated in the foregoing paragraph, bill the infringing User the acquisition of an additional identical non-usable subscription and to demand its immediate payment.

The User's use of the NLD is at their sole risk and responsibility. This is an essential condition for the acquisition of a subscription to the NLD. The User understands that a subscription to the NLD does not constitute an entitlement to legal or terminological advice or of any other kind.

The Author disclaims liability for any consequence arising from use of the NLD by the User or by unauthorized third parties. In particular, the Author disclaims liability for any damages arising from use of the NLD by the User or by an unauthorized third party. The Author disclaims liability for the opinions of authors of the works cited in the NLD or mistakes or omissions by them or himself. The Author disclaims liability for any external websites or files to which the NLD may link.

The Author's liability, if any, will be strictly limited to refunding the amount paid by the acquiring User for their latest subscription. This refund must be requested from the Author by a message with the reference "Refund request" sent to the e-mail address admin@diccionario.com.ar and stating the reason, will be considered within five working days as from receipt, may be effected through the same payment method used by the User when acquiring their latest subscription and may be reduced by an amount equivalent to the days of actual use of the NLD by the User (hereinafter, "Refund"). The User unconditionally accepts that the Refund will fully terminate any complaint that the User had or may have had against the Author concerning the NLD.

The Author disclaims any warranty, express or implied, as to the contents or the operation of the NLD. In particular, the Author does not warrant, among others, against any of the following items and disclaims liability for them:

• that the contents or operation of the NLD will remain entirely error-free,

• that the servers of Amazon Web Services, Inc. will remain entirely malware-free,

• that the servers of Amazon Web Services, Inc. will keep the NLD fully accessible at all times without interrupting the NLD's hosting service or reducing its availability, functionality or speed due to defects, maintenance or any other reason,

• that the User's ISP will keep their connection to the NLD continuously stable at all times without interrupting the User's connection to the NLD or reducing its availability, functionality or speed due to defects, maintenance or any other reason,

• that Google Sign-In by Google, Inc. or Facebook Login by Facebook, Inc. will keep their identification service fully available and functional at all times without interrupting the User's access to the NLD or reducing its availability, functionality or speed due to defects, maintenance or any other reason,

• that the User's browser is and will remain fully compatible with the NLD, and

• that the NLD is ideally suited to satisfy all of the User's specific needs.

The payment processors for NLD subscriptions, such as PayPal Holdings, Inc. and Mercado Libre S.R.L. as well as Argentine and foreign banking institutions, are entirely independent from the Author. The User therefore understands that the Author is not responsible for any stage in the processing of the User's subscription payment and that the Author is also not responsible for the safety of the User's data transmitted during the acquisition of their subscription. Any questions that the User may have regarding the processing of the payment of their subscription are to be directed only to the entity that processed the User's subscription payment.

The User declares that they are proficient at the English language and that they are able to operate the interface of the NLD. The User declares having accessed the NLD under a trial subscription and thus understands that the User's subscription will not be canceled if the NLD does not match their expectations. The User understands that the mobile version of the NLD is a beta-phase prototype with features typical of software in this release cycle. The User declares having confirmed that their browser is compatible with the NLD.

When accessing the NLD, the User enters their User's E-mail and password in a popup window belonging to the Google Sign-In or Facebook Login identification services, which are solely responsible for processing the User's data. The Author declares that the NLD is entirely uninvolved in the processing of the User's E-mail and password by Google Sign-In or Facebook Login and that the Author is provided no access of any kind to their databases in the terms of the Personal Data Protection Law 25326 of the Argentine Republic.

Once the User has accessed the NLD, the NLD receives, from Google Sign-In or Facebook Login,

• the name linked to the User's Google or Facebook account and

• the e-mail address linked to the User's con Google® or Facebook® account.

The Author declares that the NLD does not receive, under any circumstance, any password to the User's Google® or Facebook® account or any private information contained in the User's Google® or Facebook® account or any data other than those expressly authorized under Google®'s privacy policy and Facebook®'s privacy policy and following the Google Sign-In technical guidelines and the Facebook Login technical guidelines. The Author undertakes to use the data received from Google Sign-In or Facebook Login only to communicate with the User, barring any other purpose. In addition, once the User has accessed the NLD, the NLD will generate a cookie for the User to identify them automatically so as to expedite their access. The User may delete the NLD's cookie from their browser at any time.

The Terms are governed by the laws of the Argentine Republic, excluding any conflict-of-law provisions. If any dispute should arise, the Author and the User shall make every endeavor to settle it privately and shall otherwise submit to the non-federal courts of the Autonomous City of Buenos Aires.
